Aptevo reached inducement agreements with holders of existing warrants covering up to 254,922 common shares. Those holders agreed to exercise the warrants for cash at a reduced price of $4.03 per share. In return, Aptevo will issue new unregistered warrants covering up to 1,274,610 shares at the same exercise price.
The new inducement warrants will require stockholder approval before holders can begin exercising them. Once exercisable, those warrants will remain outstanding for five years from their initial exercise date. Effective SEC registration statements cover shares produced through the existing warrant exercises.
Roth Capital Partners serves as the exclusive placement agent for the warrant inducement and private placement transactions. Aptevo expects the transactions to close around August 13, subject to customary closing conditions. The planned closing would provide fresh operating funds as Aptevo advances clinical and preclinical oncology programs.
PIPE Financing Expands Share and Warrant Offering
Separately, Aptevo agreed to sell up to 861,708 unregistered common shares through a private placement transaction. The company priced those shares at $4.03 each, matching the reduced exercise price for the existing warrants. Purchasers can instead select pre-funded warrants when required to remain within specified beneficial ownership limits.
The financing also includes common warrants allowing purchasers to acquire up to 4,308,540 additional Aptevo shares. These common warrants carry a $4.03 exercise price and also require stockholder approval before exercise. They will expire five years after their initial exercise date, while pre-funded warrants remain exercisable immediately.
Aptevo offered the private securities under exemptions from registration requirements within the Securities Act of 1933. However, the company agreed to file a registration statement covering future resale of specified shares and warrant shares. That filing will cover securities linked to the inducement warrants, private placement, pre-funded warrants, and common warrants.
