Nasdaq-listed Reitar Logtech Holdings Ltd. is in advanced talks to acquire up to $1.5 billion worth of Bitcoin (BTC) as part of a strategic treasury diversification initiative aimed at supporting its global logistics technology expansion.
According to the June 2 SEC filing, the proposed transaction, involving approximately 15,000 BTC, would be executed through a share issuance agreement with a consortium of institutional and high-net-worth digital asset investors.
The deal remains subject to regulatory approval, due diligence, and final documentation.
Bolstering the balance sheet
Reitar Logtech, which operates smart logistics infrastructure and advisory services across Asia and beyond, said the Bitcoin acquisition program is designed to enhance its financial resilience by allocating part of its treasury into a non-correlated asset.
The company plans to issue ordinary shares calculated based on the average market prices of both Bitcoin and Reitar stock at the time of closing.
Reitar Chairman and CEO John Chan in a statement:
“This strategic treasury diversification initiative underscores our commitment to maintaining a strong financial foundation while scaling our global logistics technology platform.”
According to Reitar, the Bitcoin holdings would not only serve as a balance sheet enhancement but also lay groundwork for future logistics real estate and infrastructure initiatives involving digital assets.
The move comes amid a rising trend in corporates adopting Bitcoin as a treasury reserve asset. Several firms have filed documents to begin following the path pioneered by Strategy and Metaplanet following their monumental success.
The two pioneers continue to accumulate Bitcoin at a consistent rate, with their latest buys totaling over 2000 BTC.
Expansion plans
The company views the Bitcoin program as a move to increase capital flexibility for potential acquisitions in logistics automation and to support growth in high-demand regions such as Southeast Asia.
It also aims to use the initiative to build internal digital asset infrastructure to support future hybrid real-estate and logistics ventures.
If completed, the transaction would mark one of the largest Bitcoin acquisitions by an Asia-based logistics company, positioning Reitar Logtech among a growing list of publicly traded firms adopting Bitcoin as part of their corporate treasury strategy.
The company emphasized that while negotiations are in advanced stages, no definitive agreement has been signed, and the initiative may not materialize. The company added that it will p[rovide updates “as and when appropriate.”
Reitar Logtech provides logistics solutions through asset management, consultancy, construction, and smart warehousing services across global markets.
