Shares of Wendy’s experienced a sharp decline exceeding 14% during after-hours trading Wednesday following a Reuters report confirming that Nelson Peltz’s Trian Fund Management has shelved any immediate intentions to pursue a take-private transaction for the fast-food operator.

Prior to Wednesday’s closing bell, shares had been hovering near nine-month highs, valuing the company at approximately $1.7 billion. This price appreciation was largely fueled by acquisition speculation.

Trian, a long-standing shareholder controlling about 16% of Wendy’s equity, was previously reported to be forming a partnership with BlueFive Capital and major franchisee Flynn Group to execute a leveraged buyout. News of these discussions triggered a 14.7% jump in the stock price on August 12.

The after-hours selloff on Wednesday essentially erased those earlier gains.

According to Reuters sources, Trian has expressed reservations about Wendy’s current share price, valuation metrics, and operational strategy. While the investment firm remains flexible regarding future options, no formal acquisition proposal is currently being developed.

A spokesperson for Trian refused to provide commentary. Wendy’s has yet to issue a response.

Deteriorating Business Performance Masked by Deal Speculation

Removing the buyout narrative reveals a challenging operational picture for Wendy’s. Domestic comparable restaurant sales declined 7% during the second quarter. International comparable sales slipped 2.3%. While total revenue increased 1.7% to $570.6 million, adjusted earnings per share contracted to 18 cents from 29 cents in the prior-year period.

Management also retracted its full-year financial guidance and reduced the dividend to conserve capital.

CEO Bob Wright, who assumed leadership in May, attracted attention this week by acknowledging to the Wall Street Journal that the company had compromised food quality in pursuit of cost reductions. Such candid admissions from sitting chief executives are uncommon.

Wright represents the fourth chief executive at Wendy’s within a three-year span.

Recovery Strategy Moving Forward

Wright has presented a five-pillar transformation initiative focused on enhancing food quality, value proposition, marketing effectiveness, restaurant operations, digital capabilities, and location expansion.

With a potential acquisition now appearing improbable, market participants will scrutinize whether this strategic framework can generate meaningful improvements.

Trian has maintained a relationship with Wendy’s spanning nearly twenty years. Co-founder Peter May served as a board member for 18 years. Nelson Peltz and two of his sons have occupied board positions at different intervals, with Bradley Peltz joining the board last year.

This marks the second time Trian has explored a privatization strategy. The investment firm evaluated taking Wendy’s private during 2022 before ultimately abandoning those efforts in 2023.

Prior to Wednesday’s after-hours decline, WEN shares were still trading approximately 60% below their level from five years earlier.
